Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the websites, platform, and services operated by Sagan World LLC ("Sagan," "we," "us," or "our"), including saganpassport.com and the Sagan Passport hiring portal (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement on behalf of yourself or the organisation you represent. By using the Services you represent and warrant that you meet these requirements.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate, current, and complete information when registering.
  • Promptly update your account information if it changes.
  • Notify us immediately at support@getsagan.com if you suspect any unauthorised use of your account.
  • Not share your credentials with any third party.

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Description of Services

Sagan Passport connects employers with international talent across the globe. Our Services include:

  • Talent sourcing, screening, and matching.
  • Employer-of-record and compliance management for international hires.
  • Payroll, benefits, and HR administration for global team members.
  • Access to the Sagan Passport portal, reporting tools, and related software.

The specific Services available to you depend on the plan or agreement you have with Sagan. Features may change over time.

4. Employer Responsibilities

As an employer using the platform, you agree to:

  • Post only genuine, lawful job opportunities and provide accurate descriptions of roles and compensation.
  • Evaluate and engage with candidates in compliance with all applicable employment, anti-discrimination, and data-protection laws.
  • Not use candidate information for any purpose other than evaluating their suitability for the posted role.
  • Promptly pay all fees and invoices in accordance with your subscription or service agreement.
  • Maintain confidentiality of candidate profiles and personal data.

5. Talent / Candidate Responsibilities

If you use the Services as a job seeker or placed talent, you agree to:

  • Provide truthful and accurate information in your profile and applications.
  • Not misrepresent your qualifications, experience, or identity.
  • Comply with the terms of any placement or employment arrangement facilitated through the platform.

6. Fees and Payment

Fees for the Services are as set out in your service agreement, order form, or subscription plan. Unless otherwise agreed:

  • Fees are due in advance and are non-refundable except as expressly stated in your agreement or required by law.
  • Sagan may modify its fees with at least 30 days' written notice.
  • Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
  • You are responsible for all applicable taxes except those based on Sagan's income.

7. Intellectual Property

All content, features, and functionality of the Services — including text, graphics, logos, software, and the Sagan Passport brand — are owned by Sagan or its licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business purposes in accordance with these Terms. You may not:

  • Copy, modify, distribute, sell, or lease any part of the Services.
  • Reverse engineer or attempt to extract the source code of our software.
  • Remove or alter any proprietary notices or labels.

You retain ownership of content you submit to the platform. By submitting content you grant Sagan a worldwide, royalty-free licence to use, process, and display that content solely to provide the Services.

8. Prohibited Conduct

You agree not to use the Services to:

  • Violate any applicable law or regulation.
  • Post fraudulent, misleading, or discriminatory job listings or profiles.
  • Harass, threaten, or harm any person.
  • Transmit spam, unsolicited messages, or malicious code.
  • Scrape, crawl, or systematically extract data from the platform without our written consent.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Circumvent any access controls or security measures.
  • Use the Services to develop a competing product or service.

9. Confidentiality

Each party agrees to keep confidential the other party's non-public information that is disclosed in connection with the Services and is identified as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that: (a) is or becomes publicly known through no breach of this agreement; (b) was already known to the receiving party; (c) is received from a third party without restriction; or (d) must be disclosed by law.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, SAGAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Sagan does not guarantee that: (a) the Services will be uninterrupted or error-free; (b) any particular candidate will be hired or will perform satisfactorily; or (c) the Services will meet your specific requirements.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAGAN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SAGAN'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO SAGAN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Sagan and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any content you submit to the platform.

13. Term and Termination

These Terms remain in effect for as long as you use the Services. Either party may terminate the relationship at any time by providing written notice.

Sagan may suspend or terminate your access immediately and without notice if you breach these Terms or if required by law. Upon termination:

  • Your right to access the Services ceases immediately.
  • Provisions that by their nature should survive (including Sections 7, 9, 10, 11, 12, and 15) will survive.
  • You remain liable for all fees accrued prior to termination.

14. Modifications to the Services and Terms

We may modify or discontinue any part of the Services at any time, with or without notice. We may update these Terms by posting the revised version on our website. Material changes will be communicated with at least 14 days' notice. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall first be submitted to good-faith negotiation. If the parties cannot resolve the dispute within 30 days, it shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in English in Wilmington, Delaware.

You waive any right to participate in a class action lawsuit or class-wide arbitration. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.

16. General Provisions

  • Entire agreement. These Terms, together with any executed service agreement and our Privacy Policy, constitute the entire agreement between you and Sagan regarding the Services.
  • Severability. If any provision is found unenforceable, the remaining provisions will continue in full force.
  • No waiver. Failure to enforce any provision shall not constitute a waiver of our right to enforce it in the future.
  • Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
  • Force majeure. Neither party is liable for delays or failures caused by circumstances beyond their reasonable control.
  • Notices. Legal notices to Sagan should be sent to support@getsagan.com.
